Mia Accounting Terms of Service

These terms govern your use of Mia Accounting, an online accounting and HMRC Making Tax Digital (MTD) submission service operated by Voyage Manager Ltd (company number 07365818, registered in England and Wales). By creating an account or using the service you agree to these terms.
1. The service
Mia Accounting provides online double-entry bookkeeping, invoicing, bank reconciliation, financial reporting, and the ability to submit VAT returns to HM Revenue & Customs through HMRC's MTD-VAT API.
2. Subscription, billing, and cancellation
The service is sold on a monthly subscription per business at the price displayed in-app at the time of purchase. Payments are taken via Stripe Payments UK Ltd. You may cancel at any time from the Settings page; access continues until the end of the billed period and no refund is given for the unused portion.
3. Your responsibilities
- Keep your login credentials confidential and notify us promptly of any suspected unauthorised access.
- Ensure the people you grant access to your business workspace have a genuine need to be there.
- Ensure the data you enter is accurate. You remain responsible for the integrity of your own accounting records.
4. HMRC MTD-VAT submissions
You are responsible for the accuracy and timeliness of any VAT return you submit to HMRC through Mia Accounting. Mia Accounting provides the calculation tooling and the technical channel to HMRC; the legal submission, and any tax payable, remain your responsibility. You authorise Voyage Manager Ltd to act as your authorised software vendor for the purpose of MTD-VAT API calls you initiate from within the application, and you confirm that the data we send in HMRC's fraud-prevention headers (described in our Privacy Policy) is accurate to the best of our knowledge.
5. Acceptable use
You agree not to:
- use Mia Accounting in any way that breaks UK law or the laws of a country where you operate;
- attempt to access data belonging to other customers, or otherwise circumvent the access controls in the application;
- upload malware, run automated scrapers against the service, or use it in a way that materially degrades the service for others;
- reverse engineer, decompile, or attempt to extract the source code of the service except to the extent permitted by law.
6. Your data
You retain all rights in the data you put into Mia Accounting. We process it on your behalf solely to provide the service. The application provides CSV and PDF export from every report and ledger so that you can take your data with you if you switch providers. Statutory retention periods (in particular HMRC's 6-year requirement for VAT records) are described in the Privacy Policy.
7. Service availability
We aim to keep Mia Accounting available 24 hours a day, but we do not guarantee uninterrupted service. Scheduled maintenance is announced in advance where reasonably possible. The HMRC MTD-VAT API is operated by HMRC and may be unavailable from time to time for reasons outside our control; you should not leave statutory submissions to the last hour before deadline.
8. Security disclosure
If you discover a security vulnerability in the service, please report it via our responsible-disclosure process rather than disclosing it publicly.
9. Suspension and termination
We may suspend or terminate your account if you materially breach these terms, fail to pay, or use the service in a way that puts other customers or HMRC's systems at risk. In all but emergencies we will give you reasonable notice and an opportunity to remedy the breach. You may close your account at any time from the Settings page.
10. Warranties and disclaimers
We warrant that we will provide the service with reasonable skill and care. Except as expressly stated in these terms, the service is provided "as is" and we make no other warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or accuracy of HMRC determinations.
11. Liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.
Subject to the paragraph above, our total liability to you in connection with the service in any 12-month period is limited to the greater of (a) the fees you paid us in that period and (b) £100. We are not liable for any indirect or consequential loss, loss of profit, loss of business, loss of goodwill, or for any HMRC penalty, interest, or surcharge arising from inaccurate data you entered or from your failure to submit a return on time.
12. Changes to these terms
We may update these terms from time to time. Where the change is material we will notify account holders by email at least 30 days before it takes effect. Continued use after that date constitutes acceptance.
13. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of them.
